1. Acceptance of Terms
By accessing or using NexToken (the "Service") at nextoken.biz or via API, you ("User", "you") agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.
If you use the Service on behalf of an entity, you represent you have authority to bind that entity to these Terms.
2. Description of Service
NexToken is an AI infrastructure platform operated by Cete Ventures Pte. Ltd. ("we", "us") that provides:
- Routing access to multiple third-party Large Language Model ("LLM") providers via a unified API
- Self-hosted embedding and reranking models operated by us in AWS Singapore (ap-southeast-1)
- Token-based metered billing, pre-paid wallet, and subscription plans
- Developer tools (SDK, dashboard, API keys)
The Service is targeted at developers and businesses primarily in Asia-Pacific. Users in geographies subject to applicable sanctions may be restricted from certain models (see §6).
3. Account Registration & Eligibility
You must: - Be at least 18 years old (or the age of majority in your jurisdiction) - Provide accurate registration information (email, country, business name if applicable) - Maintain confidentiality of your API keys and login credentials - Not be located in jurisdictions where use of LLM services is prohibited by law
We may decline registration or terminate accounts at our discretion, including for violation of these Terms or applicable law.
4. Acceptable Use Policy ("AUP")
You will not use the Service to:
- Generate, store, or transmit content that is illegal, infringing, defamatory, harassing, or violates third-party rights
- Generate Child Sexual Abuse Material ("CSAM") or content that sexualizes minors
- Plan, instruct on, or facilitate violent extremism, terrorism, or weapons of mass destruction
- Develop biological, chemical, nuclear, or radiological weapons
- Conduct unauthorized access, malware development, or attacks on computer systems
- Misrepresent AI-generated content as human-generated where disclosure is required by law (e.g., political advertising, financial advice, medical advice)
- Generate output for use in regulated decisions (medical diagnosis, legal advice, financial advice, employment decisions, credit, housing) without appropriate human review and disclosure
- Circumvent or attempt to circumvent provider-level safety features
- Reverse-engineer, scrape, or replicate the Service or our model routing logic
- Resell or redistribute the Service to third parties without our written consent
- Exceed rate limits or attempt to artificially inflate usage
Provider AUPs apply. When your request is routed to a third-party model provider (see §6), that provider's Acceptable Use Policy also applies. Notably:

You are responsible for compliance with all such provider AUPs. Violation may result in account suspension by us, the provider, or both.
5. Models, Providers & Subprocessors
The Service routes your requests to a combination of:

By using the Service, you authorize us to transmit your prompts and content to these subprocessors as needed to fulfill your requests.
Routing rules:
- nex-* branded models route to a curated combination of upstream providers chosen for cost and quality, with automatic failover
- text-embedding-3-* requests are by default routed to our self-hosted Singapore models (lower cost, lower latency); you may force OpenAI upstream by passing extra_body.nex_passthrough = true
- All other named models route to their respective providers
Subprocessor changes: We may add, remove, or change subprocessors. Material changes will be notified at least 14 days in advance via email or in-app notice.
6. Geographic Restrictions
Certain models (currently OpenAI-served models) are restricted in jurisdictions where the underlying provider does not support service. As of 2026-04-29, OpenAI requests from the following countries are blocked: China (CN), Hong Kong (HK), Macau (MO), Russia (RU), Belarus (BY), Iran (IR), Cuba (CU), Syria (SY), North Korea (KP), Venezuela (VE), Afghanistan (AF), Myanmar (MM).
When OpenAI access is unavailable, the Service will:
- Return HTTP 451 if you specifically requested an OpenAI-only model
- Automatically route to alternative providers if you requested a multi-provider model (e.g., nex-pro, nex-auto)
7. Data Handling
Your input data ("Prompts") and output data ("Completions"):
- We process Prompts in transit to fulfill your requests; we do not use your Prompts to train our or our subprocessors' models.
- For self-hosted models in Singapore, your Prompts are processed within ap-southeast-1 and not retained beyond what is necessary to return a Completion (logs retain metadata: token counts, latency, model, status — not Prompt content).
- For third-party providers, their data handling policies apply. OpenAI, Anthropic, Google, and others typically retain abuse-monitoring logs for up to 30 days unless you have a Zero Data Retention agreement with them.
Account data: We store your email, country, billing records, and API key hashes to operate the Service.

8. Payment, Billing & Refunds
- Pre-paid wallet (USD): top up via Stripe (credit card), USDT (TRC-20 / ERC-20), or bank transfer / PayNow.
- Token usage is metered and deducted from your wallet at our published rates plus a markup (BASE_MARKUP = 1.20 for third-party models, fixed for
nex-*and self-hosted models). - Singapore Goods & Services Tax (GST 9%) applies to Singapore customers.
- Subscription tiers (Pro, Business) are billed monthly in advance and are non-refundable except where required by law.
- Wallet balances are not refundable except for unused balance after account termination, less reasonable processing fees.
- Stripe processing fee: 3%. USDT: 0% (promotional). Bank: 3%.
Pricing is subject to change with 14 days' notice for committed customers.
9. Service Availability, Disclaimer & Liability
The Service is provided "AS IS" without warranties of any kind, including merchantability, fitness for purpose, or non-infringement.
We do not warrant that: - Outputs from any model are accurate, current, complete, or fit for any specific purpose - The Service will be uninterrupted or error-free - Third-party providers will be available at all times
LIMITATION OF LIABILITY. To the maximum extent permitted by Singapore law, our aggregate liability under these Terms is limited to the greater of (a) the amounts you paid us in the 3 months preceding the claim, or (b) SGD 100. We are not liable for indirect, incidental, consequential, or punitive damages, or for loss of profits, data, or business opportunities.
Nothing in these Terms excludes liability for fraud, gross negligence, willful misconduct, or any liability that cannot be excluded under applicable law.
10. Termination
You may terminate your account at any time via the dashboard or by emailing support@nextoken.biz.
We may suspend or terminate your account immediately if: - You violate these Terms or any applicable law - A subprocessor requires us to suspend service to you - Your usage causes harm or risk to the Service, other users, or third parties - We are required to do so by law or regulator
Upon termination, your right to use the Service ceases. Sections 4 (AUP), 7 (Data), 9 (Liability), 11 (Governing Law) survive termination.
11. Governing Law & Dispute Resolution
These Terms are governed by the laws of Singapore. Disputes shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre ("SIAC") in accordance with the SIAC Rules in force. The seat of arbitration shall be Singapore. The language shall be English. The number of arbitrators shall be one.
12. Changes to These Terms
We may update these Terms. Material changes will be notified at least 14 days in advance via email or in-app notice. Continued use after the effective date constitutes acceptance.
